ONLINE Auction Terms - Real Estate: A 10% non-refundable earnest money escrow deposit is due to Phillips Brothers Auctions at signing of purchase contract on Wednesday, April 22nd, 2026 by 4:00 p.m., with the balance due on or within 30 days at closing. A 3% Online Buyer's Premium will be added to the high bid to create total contract price. At closing, Seller will pay for deed(s) and a preliminary title search that has already been performed. Title insurance is available at the expense of the purchaser. Property taxes will be prorated to the date of closing. All other closing costs are to be paid by the purchaser. Property sold by deed description as recorded and by existing boundaries. Possession given at closing. All property sold AS-IS with no contingencies. Any inspections to the property may be done prior to auction ending at purchaser's expense. Auction is for the deed to the property as it is legally described, assessed, and recorded in Franklin County, Alabama, less any existing road right-of-ways or easements. Title to property will transfer by deed description as described. Any measurements or dimensions described or advertised are to be considered to be to the best of our knowledge but should be confirmed by purchaser. It is the buyer's responsibility to inspect prior to bidding to determine if property, dimensions, condition, permissible use, added value of business, and layout are suitable. Transfer of Ownership of Inventory: Service station business will remain actively running until one day prior to property settlement and closing. Seller and buyer will take inventory of remaining goods for sale and merchandise, and fuel volume will be measured, and the purchaser will be allowed to take over inventory and fuel at seller's cost - the amount of which is payable in full the following day at property settlement and closing. Current Employment: Seller cannot guarantee and is not guaranteeing the continued labor of the existing employee base. The seller agrees to continue to run a reputable business to the date of closing, however it is the purchaser's responsibility to determine staffing beyond the point of property settlement and closing on property and transfer of business.
Storefront Name: The marketable name of the business will transfer to the new owner of the business. The current ownership will hold no claims to the new owner's right to use existing name and agrees to allow the name of the store to continue to be used. There will also be no restrictions placed on the current owner's future use of the storefront name at another location if they ever chose to do so. The "cross" sells with the property as a permanent landmark and fixture of the property.
Online Real Estate Bids: A 3% online buyer’s premium will be added to winning bid price to create total purchase price. Auction is set to close at the advertised date and time. Any bid placed within the last two minutes of the property ending time will extend the remaining bidding time back to two minutes remaining, and the clock will begin to countdown again. This will continue until two minutes have passed with no bids being placed and the time remaining has expired.
